Affiliate Program Terms and Conditions

1. Introduction
As a user of Exayard ("Platform"), operated by RemoteAmbition, LLC ("Company", "we", "our", "us"), and participant in our Affiliate Program ("Program"), you agree to abide by the terms and conditions outlined in this Affiliate Program Agreement ("Agreement"). Please read the entire Agreement carefully.
Your participation in the Program is solely for the purpose of legally advertising our Platform and services to receive commissions on subscriptions purchased by individuals referred to Exayard through your personal referral link or coupon code.
By using the referral link or coupon code provided to you upon signing up as a user of Exayard, you indicate your acceptance of this Agreement and its terms and conditions.
2. Eligibility
To participate in the Program, you must be at least eighteen (18) years of age and have the legal authority to enter into this Agreement. Accounts registered using automated means (e.g., bots or scripts) are not permitted. Each individual or entity is limited to one affiliate account. Creating multiple accounts to circumvent any terms of this Agreement will result in immediate termination.
3. Commission Structure
Affiliates earn a 20% commission on referred subscription payments for the first twelve (12) months from the date the referred customer signs up. After this 12-month window, no further commissions are earned on that referral. Commission rates may vary for affiliates with special arrangements.
Commissions are paid monthly via PayPal, provided the accumulated balance is at least $100 USD. Balances below this threshold will carry over to the following month. For an Affiliate to receive a commission, the referred account must remain active for a minimum of seven (7) days.
Commissions are calculated on the full invoice amount, not on any discounted amount resulting from coupon codes or promotions. You cannot refer yourself, and commissions are only earned on subscriptions purchased by new customers who have not previously held a paid Exayard account.
Payments are issued only for transactions that have been successfully completed. Transactions resulting in chargebacks, refunds, or payment disputes are not eligible for commission payouts. If a commission has already been paid on a transaction that is later refunded or charged back, the commission amount will be deducted from future payouts.
Commission payments are processed through third-party payment providers (PayPal). You are responsible for maintaining accurate payment information and for any fees charged by the payment provider. The Company is not responsible for incorrect, delayed, or failed payments resulting from outdated or inaccurate payment details.
4. Coupon Codes
Each Affiliate may create one coupon code through the referral settings dashboard. This coupon provides new customers with 10% off their first three months of a paid subscription. You may only promote your assigned coupon code.
The following restrictions apply to coupon promotion:
- Affiliates may not use misleading text on links, buttons, or images to imply that discounts or deals are available beyond the specific coupon assigned to them.
- Affiliates may not bid on keywords or phrases containing "Exayard coupon", "Exayard discount", or similar terms implying the availability of unauthorized deals.
- Affiliates may not generate pop-ups, pop-unders, iframes, or any other visible or invisible actions that set affiliate cookies unless the user has expressed clear and explicit interest by clicking a clearly marked link for the specific coupon.
- Users must be able to view coupon details before any affiliate cookie is set. "Click to reveal coupon" tactics that redirect to the merchant site or set cookies without showing the coupon first are prohibited.
5. Prohibited Activities
The following activities are strictly prohibited and will result in immediate suspension or termination from the Program, with forfeiture of all unpaid commissions:
- Spam: Mass unsolicited emails, messages, newsgroup postings, or any form of bulk communication promoting your affiliate link or coupon code.
- Misleading claims: False or exaggerated representations about Exayard's features, pricing, or capabilities. You must accurately represent the Company and its offerings at all times.
- Illegal or harmful sites: Promoting Exayard on websites that contain or promote illegal activities, hate speech, violence, explicit content, gambling, or intellectual property violations.
- Failure to disclose: Not disclosing the affiliate relationship in promotions that qualify as endorsements under Federal Trade Commission (FTC) guidelines or applicable laws.
- Trademark and brand misuse: Using Exayard's trademarks, logos, or brand assets without permission or in a manner that could cause confusion. You may not use "Exayard" or any misspellings or variations thereof in domain names, social media handles, or app names.
- Commission kickbacks: Offering rebates, coupons, or other forms of promised kickbacks from your affiliate commission as an incentive to use your referral link or coupon code.
- Pay-per-click and paid advertising: Bidding on or using "Exayard", misspellings of "Exayard", or any Exayard brand terms, product names, or variations thereof as keywords in any pay-per-click or paid advertising platform (including Google Ads, Bing Ads, Meta Ads, and similar) without prior written permission.
- Coupon and cashback sites: Promoting affiliate links or coupon codes on coupon aggregator, cashback, deal, or loyalty reward websites is not permitted.
- Dedicated affiliate sites: Creating websites solely for the purpose of promoting Exayard requires prior written approval from the Company.
- Self-referrals: Referring yourself, your own accounts, immediate family members, or accounts controlled by you or your business associates for the purpose of earning commissions.
- Fraudulent activity: Any form of click fraud, fake signups, bot traffic, cookie stuffing, use of software or browser extensions that divert or inject affiliate cookies, or any other manipulation of tracking mechanisms.
- Account recreation: Creating a new affiliate account after a previous account has been terminated.
- Outside payments: Receiving commission payments directly from the Company outside of the Program platform is a violation of these terms.
6. Termination
Either party may terminate this Agreement with thirty (30) days' written notice. The Company reserves the right to immediately suspend or terminate any Affiliate account at any time, without notice, for violations of this Agreement or for any other reason at its sole discretion.
Upon termination, you must immediately cease all use of your referral link and coupon code. You will no longer be eligible to earn commissions. Unpaid commissions below the $100 minimum payout threshold will be forfeited upon termination.
Accounts that have been inactive (no referral activity) for six (6) or more consecutive months may be terminated. Unpaid commissions below the minimum payout threshold will be forfeited.
7. Intellectual Property
The Company grants you a non-exclusive, non-transferable, revocable license to use Exayard's name and logo solely for the purpose of promoting the Platform as part of the Program. You may not modify, adapt, or create derivative works of any Company intellectual property without prior written consent.
You may create your own promotional graphics and text, provided they accurately represent Exayard and do not violate any terms of this Agreement.
8. Confidentiality
During your participation in the Program, you may have access to confidential information including but not limited to commission rates, program performance data, and internal communications. You agree to keep all such information confidential and not disclose it to any third party without prior written consent from the Company.
This obligation does not apply to information that: (a) is or becomes publicly available through no fault of yours; (b) was rightfully in your possession before disclosure; (c) is independently developed by you without reference to the confidential information; or (d) is required to be disclosed by law.
9. Limitation of Liability
The Company will not be liable for indirect, incidental, or consequential damages (including loss of revenue, commissions, or data) arising from affiliate tracking failures, loss of database files, program interruptions, or any results of intentional harm to the Program or Platform.
The Platform and Program are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee uninterrupted or error-free operation of the Program.
The total aggregate liability of the Company in connection with your participation in the Program shall not exceed five hundred U.S. dollars ($500).
10. Indemnification
You agree to indemnify and hold harmless RemoteAmbition, LLC and its affiliates, subsidiaries, officers, directors, employees, agents, licensees, successors, and assigns from any and all liabilities, damages, fines, judgments, claims, costs, losses, and expenses (including reasonable attorney's fees) arising out of or related to any claim in connection with your participation in the Program, including but not limited to your negligence, misrepresentation, failure to disclose the affiliate relationship, or intentional misconduct.
11. Modifications
The Company reserves the right to modify the terms and conditions of this Agreement at any time. Changes will be effective upon posting. If any modification is unacceptable to you, your only option is to cease using your referral link and coupon code and terminate your participation in the Program. Your continued participation will constitute acceptance of any changes.
12. Relationship of Parties
You and the Company are independent contractors. Nothing in this Agreement creates a partnership, joint venture, agency, franchise, or employment relationship. You have no authority to make any commitments or representations on behalf of the Company.
13. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, United States. Any disputes arising under or related to this Agreement shall be adjudicated exclusively in the state courts located in Volusia County, Florida.
14. Taxes
You are solely responsible for all tax obligations arising from commissions earned through the Program, including federal, state, and local income taxes, self-employment taxes, and any other applicable taxes in your jurisdiction. The Company does not withhold taxes from commission payments.
U.S.-based affiliates who earn $600 or more in a calendar year will be issued a Form 1099-NEC. You must provide a completed W-9 form before your first payout can be processed. Non-U.S. affiliates must provide a completed W-8BEN or W-8BEN-E form to certify foreign status. The Company reserves the right to withhold payments until required tax documentation is received.
15. Acceptance
This Agreement is incorporated by reference into the Exayard Terms of Service. By creating an Exayard account, you acknowledge and agree to the terms of the Affiliate Program as set forth in this Agreement.
Additionally, any use of a referral link, coupon code, or the referral settings dashboard constitutes your active acceptance of these terms. This electronic acceptance has the same legal force and effect as a handwritten signature.
